How is a new partner added to an LLP?

A new partner is admitted in line with the LLP agreement, with their written consent. The LLP then files Form 4 for the appointment and Form 3 for the change in the LLP agreement with the Registrar within the prescribed time.

What is the difference between a partner and a designated partner?

Every LLP must have at least two designated partners who are responsible for compliance under the LLP Act, while ordinary partners share in the business without those specific statutory duties. A designated partner needs a DPIN and a digital signature.

Which forms are filed to appoint a partner?

Form 4 records the appointment of the partner or designated partner, and Form 3 records the corresponding change in the LLP agreement. These are usually filed together within 30 days of the change.

Does the new partner need a DPIN?

A partner being appointed as a designated partner must have a Designated Partner Identification Number. An ordinary partner who is not designated does not need one, though the LLP agreement and filings must still reflect their admission.

Is the LLP agreement updated when a partner joins?

Yes. Admitting a partner changes the rights, contribution and profit-sharing in the LLP, so a supplementary LLP agreement is executed and filed through Form 3 to keep the records accurate.
