Startup Registration in Panaji — Investor-Ready From Day One

Two first-time founders in Panaji had a product and a co-founder agreement scribbled on a notes app — but no company, no registrations, and no idea which structure would actually work for raising money later. The situation

A working product, but no company behind it

Two Panaji-based founders had built a working beta of a booking platform for small hospitality businesses and were starting to get inbound interest from a few angel investors. The problem was that the business itself didn't legally exist — there was no incorporated entity, no PAN or TAN in the company's name, and no registrations to even raise an invoice.

Neither founder had been through a company registration process before, and they were unsure whether to set up a private limited company, an LLP, or simply start as a proprietorship and convert later. They had also heard about Startup India recognition and the tax benefits that come with it, but didn't know how to apply or whether they even qualified.

With an investor conversation already in motion, they needed the entity, the registrations, and the recognition sorted out fast — without making a structural decision they'd regret once the company started raising capital.

What we did

Incorporated, registered, and recognised — in that order, without missing a step

NDSA started with a structure conversation before touching any paperwork. Given the founders' plan to raise an angel round within the next year, we recommended a private limited company over an LLP — the share structure and governance investors expect to see, with room to issue ESOPs and bring in new shareholders cleanly later.

From there, we ran the full onboarding as a single sequenced engagement:

  • Obtained Digital Signature Certificates for both founders, the first requirement before any MCA filing could begin.
  • Incorporated the company via the SPICe+ route, securing the company name, PAN, and TAN as part of a single incorporation filing.
  • Filed for GST registration so the company could invoice the first pilot customers and claim input credit on early expenses.
  • Registered for MSME / Udyam classification, unlocking priority sector lending eligibility and delayed-payment protection under the MSME Act.
  • Prepared and filed the DPIIT / Startup India recognition application, including the pitch deck and business write-up the portal requires, to unlock the 3-year tax holiday and self-certification benefits.
  • Drafted the founders' agreement into a formal shareholders' agreement and cap table, so equity splits were documented before any external money came in.

The founders were able to raise their first pilot customer invoice the same week the GST registration came through, and walked into their first investor meeting with a clean cap table and a recognised Startup India entity — not a registration gap to explain away.
