What is a Section 8 company?

A Section 8 company is a non-profit company registered under Section 8 of the Companies Act 2013 to promote objects such as charity, education, science, art, sport or social welfare. Its income must be applied to its objects, and it cannot pay dividends to its members.

How is it different from a trust or society?

A Section 8 company offers stronger governance, nationwide recognition and greater credibility with donors, CSR funders and government than a trust or society, though it has more compliance. For serious, scalable non-profits seeking institutional funding, the company form is usually preferred.

Is a licence required to register?

Yes. A Section 8 company requires a licence from the central government, granted through the Registrar of Companies, before or as part of incorporation. The licence process, now integrated into SPICe+, examines the objects and the proposed governance, and we manage it for you.

Can a Section 8 company make a profit?

It can generate surplus, but that surplus must be applied towards promoting its objects and cannot be distributed as dividend or profit to its members. This restriction is what gives the structure its non-profit character and donor credibility.

Does it get automatic tax exemption?

No. Registration as a Section 8 company is separate from income-tax exemption. To enjoy exemption and let donors claim deductions, the company must also obtain 12A and 80G registrations, which we guide you through after incorporation.

Can it receive foreign donations?
